- You own your data. Always. We never claim any rights to your tenant content, customer records, or transaction history.
- You can leave any time. Export your full dataset in standard formats with one click. No 30-day wind-down periods, no export fees.
- We do not sell your data. Your data is not a product. It does not go to advertisers, data brokers, or analytics resellers under any circumstances.
- We log everything we do as your operator. Every administrative action on your tenant is recorded in an append-only audit log you can inspect.
- If we break SLA, we credit you. Downtime beyond our 99.9% monthly uptime commitment earns you prorated service credits, automatically applied.
Definitions
"Platform" refers to the Zen & Shore Machine Shop commerce platform, including the Transcoder Gateway API, the Next.js Storefront, the ERPNext instance, and all associated services operated by Zen & Shore Expedition Co.
"Tenant" means any business entity that has completed the onboarding flow and holds an active subscription to the Platform under a Tenant Slug assigned at provisioning time.
"Tenant Data" means all data, including customer records, product catalogs, pricing configurations, orders, and session state, generated or uploaded by the Tenant or their end customers during Platform use.
"Service Level" means the uptime and performance commitments set out in the Service Level Agreement section of these Terms.
Acceptance of Terms
By completing the tenant onboarding flow, clicking "I Agree", or by continuing to use the Platform after a Terms update notification has been issued, you accept these Terms in full on behalf of the legal entity you represent.
If you are accepting on behalf of a company or other legal entity, you represent that you have the authority to bind that entity. If you do not have such authority, or if you do not agree with these Terms, do not proceed with onboarding.
These Terms constitute the entire agreement between Zen & Shore Expedition Co. and the Tenant with respect to the Platform and supersede all prior discussions, representations, or agreements.
Termination
Either party may terminate the agreement with 30 days' written notice. Zen & Shore may terminate immediately if Tenant materially breaches the Acceptable Use Policy, fails to pay fees after a 14-day cure period, or engages in activity that creates legal or regulatory risk for the Platform.
Upon termination, Tenant retains access to a read-only data export interface for 60 days. After that window, Tenant Data is purged from all Platform systems in accordance with our data retention schedule. Zen & Shore does not hold data hostage as a subscription incentive.
Termination does not affect any payment obligations incurred prior to the termination date. Prorated credits for prepaid but unused subscription time will be refunded in accordance with the Refund Policy.
Limitation of Liability
To the maximum extent permitted by applicable law, Zen & Shore's aggregate liability to the Tenant for any claims arising from or related to the Platform shall not exceed the total fees paid by the Tenant in the 12 months preceding the claim.
Zen & Shore shall not be liable for indirect, incidental, special, consequential, or punitive damages, including but not limited to lost profits, lost revenue, or loss of data, even if Zen & Shore has been advised of the possibility of such damages.
This limitation of liability does not apply to Zen & Shore's indemnification obligations, nor to damages arising from Zen & Shore's gross negligence or willful misconduct, nor to claims that cannot be limited under applicable Indian law.
Governing Law and Disputes
These Terms are governed by the laws of India, without regard to conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Bengaluru, Karnataka.
Before initiating formal legal proceedings, both parties agree to attempt good-faith resolution through direct negotiation for a period of 30 days from the date the dispute is raised in writing. This does not prevent either party from seeking emergency injunctive relief.
- We collect only what is needed to operate the Platform. No tracking pixels, no third-party analytics on your storefront.
- Your customers' data lives in your tenant SQLite partition. We cannot access it without your explicit permission.
- We do not transfer data outside India without explicit written consent from the Tenant.
